Фізична особа - підприємець Суржікова Аделіна В'ячеславівна (FOP Surzhikova Adelina Vyacheslavivna), tax number 3453005546 (the Contractor), invites natural persons and legal entities, individual entrepreneurs included, other than those listed in clause 4.4 (the Customer) to accede to this public offer agreement for the provision of other information services, data processing services and web hosting services by way of access to the functionality of a website (online service) (the Agreement), on the terms set out in this Agreement.
1. General provisions
1.1. This Agreement is the Contractor's formal proposal (public offer) to enter into an agreement for access to the software of an online service. It is addressed to the public at large.
1.2. The Customer is deemed to have accepted the terms of this Agreement in full, without limitation, reservation or exception, from the moment of acceptance by making payment or submitting a request for the services.
1.3. The Contractor also publishes Terms and conditions of use, a Refund policy and a Privacy policy. The Terms and conditions set out the same arrangement in plainer language and are for information only; the Refund policy and the Privacy policy form an integral part of this Agreement. In the event of any inconsistency between those documents and this Agreement, this Agreement prevails.
2. Subject matter
2.1. Under this Agreement, following its acceptance, the Contractor undertakes to provide the Customer with access to the software of the online service https://crystalia.online/ (the Service), available over the Internet, which automatically converts images into rhinestone setting charts, allows them to be edited, and exports them as print-ready multi-page PDF files. The Customer undertakes to pay for and accept such access on the terms of the selected plan.
2.2. The software of the Service belongs to the Contractor, which administers the Service itself and provides its technical support.
2.3. Access is provided for the term and within the PDF export limit set by the selected plan, or for the number of exports set by the selected top-up pack. The subscription limit is reset on each renewal; unused exports do not carry over to the next period unless the plan description states otherwise. Exports bought as a top-up pack are added to the Customer's existing balance.
2.4. The service is provided as described at the time of purchase. No physical goods are supplied and nothing is delivered.
2.5. The Service's functionality, features, plans, export limits, top-up packs, available formats and other information are published at https://crystalia.online/.
3. Acceptance of the offer
3.1. This Agreement is concluded as a contract of adhesion under article 634 of the Civil Code of Ukraine and is deemed concluded when the Customer accepts the public offer.
3.2. By accepting this Agreement, the Customer confirms that they have read its terms in full, understand them, and accept them without reservation.
3.3. The Customer accepts the offer by paying for the ordered service or by any other act that clearly shows an intention to receive the service on the terms of this Agreement.
4. Price and payment
4.1. The price of the Contractor's services is published at https://crystalia.online/ and depends on the plan or top-up pack the Customer selects. The Customer pays the price published at the time of payment, less any discount given by an applied promo code. The currency is shown next to the amount.
4.2. The price does not include any bank or payment system fees that may be charged when the payment is made.
4.3. Payment is made in the currency in which the price is shown, by non-cash means, as 100% prepayment to the Contractor, through the WayForPay payment system integrated into the website and/or by bank transfer to the Contractor's current account. The Customer enters their card details in the WayForPay payment window; the Contractor does not receive or store them.
4.4. By making payment, the Customer confirms that they are not located in the Russian Federation or the Republic of Belarus; are not a citizen of the Russian Federation, unless lawfully resident in Ukraine; are not acting on behalf of or in the interests of a legal entity incorporated under the laws of the Russian Federation, or one in which the Russian Federation, its citizens or its legal entities hold 10 per cent or more of the share capital; and that the legislation of Ukraine, sanctions legislation included, does not prohibit providing the Services to them. Where this is not the case, the Contractor returns the funds within 7 (seven) business days to the account they were paid from, and no access to the Service is granted for such a payment.
4.5. Payments under this Agreement are made solely through money transfer services and/or remote banking systems, in particular through the WayForPay payment system licensed by the National Bank of Ukraine, and/or by the Customer's bank transfer to the Contractor's current account using their own bank's remote banking system. Accordingly, under paragraph 14 of article 9 of the Law of Ukraine "On the Use of Registrars of Settlement Operations in Trade, Catering and Services", no cash registers or software cash registers are used in providing the services under this Agreement.
4.6. The date of payment is the date the payment system successfully confirms the transaction or the date the funds are credited to the Contractor's current account.
4.7. Proof of a payment made through the payment system is the electronic receipt sent to the Customer by the acquiring bank or the payment system on the Contractor's behalf, in accordance with the payment system's rules and the law of Ukraine. That electronic receipt confirms the fact and the amount of the payment and is not a settlement document within the meaning of the Law of Ukraine "On the Use of Registrars of Settlement Operations in Trade, Catering and Services"; the grounds on which the Contractor does not use cash registers or software cash registers are set out in clause 4.5 of this Agreement.
4.8. The Contractor's plans may provide the services as a recurring subscription (recurring payments). By choosing a subscription plan, the Customer gives the Contractor and the payment system advance consent to charge their bank card automatically for each billing period of the selected plan, without the Customer having to confirm each subsequent payment.
4.9. The Contractor may change the price of a plan and notifies the Customer of it. A lower price applies to an existing subscription automatically from the next charge. A higher price applies only with the Customer's consent, given in the Service. If consent has not been given at least one day before the next charge, the subscription's automatic renewal is cancelled, and access is kept until the end of the period already paid for.
4.10. The Customer may cancel a recurring subscription (automatic renewal) at any time within the Service or by contacting the Contractor. Cancellation prevents the next charge and does not shorten access already paid for: the Customer keeps access to the Service's functionality until the end of the current (already paid) billing period.
4.11. Refunds are made by the Contractor on the terms of the Refund policy, which forms an integral part of this Agreement, and in the manner set out in section 7 of this Agreement. An agreed refund reduces the paid access in proportion to the amount refunded; exports already used are not taken back, and the export balance can never become negative.
4.12. If a charge for the next subscription period cannot be collected automatically (because of insufficient funds, an expired card, limits set by the bank, or similar), the Contractor may suspend or restrict the Customer's access to the Service's functionality until the outstanding amount is successfully paid.
5. Provision of the services
5.1. The services are provided over the Internet by opening access to the functionality of the online service and/or issuing the Customer an access key for signing in on the website, for the term and on the terms of the plan the Customer has selected.
5.2. Instructions for using the Service are published at https://crystalia.online/#how-it-works.
5.3. The access key is generated automatically by the Service's hardware and software immediately after the payment system successfully confirms the payment to the Contractor, and is shown to the Customer in the Service. Where the Customer has given an email address, the key is also sent to it. Showing the key in the Service is the primary means of delivering it; sending it by email is supplementary. The Customer is responsible for the accuracy and currency of the email address they enter.
5.4. The Contractor's obligations under this Agreement are deemed performed in full and properly from the moment the Customer receives the access key, whether in the Service or by email.
5.5. The access key is the only way to sign in to the Service. No accounts, usernames or passwords are used. The key can be used from any number of the Customer's browsers and devices; the Contractor does not count or register them. The Customer undertakes to keep the key as safe as they would a password.
5.6. Before payment, the Contractor separately informs the Customer, in a form that requires the Customer's active step (ticking a separate box that is not combined with the general acceptance of this Agreement), that the Service will be provided in full before the end of the 14-day period the law allows for withdrawing from the contract. By paying after such separate notice, the Customer agrees to the Services starting before the end of that period and confirms that they are aware of the consequence under part five of article 13 of the Law of Ukraine "On Consumer Rights Protection", namely the loss of the right to withdraw from this Agreement once the Service has been provided in full (when access to the functionality of the online service is activated). If the Customer was not given such separate notice before payment, their right to withdraw from this Agreement within 14 days of its conclusion is retained in full.
6. Copyright and related rights
6.1. All economic copyright in the software of the website https://crystalia.online/, its design, chart generation algorithms and interface belongs to the Contractor. The Customer may use the Service only in accordance with the terms of the selected plan.
6.2. Without the Contractor's written consent, the Customer may not transfer their access key to third parties, publicly disclose access credentials, copy the program code, reverse engineer or decompile it, or use the Service to create competing products.
6.3. Copyright and economic rights in the end result, being the layouts and charts in PDF format that the Customer creates using the website's functionality, belong to the Customer.
6.4. The Customer retains the rights in the images they upload to the Service. The Contractor claims no rights in those images and does not use them to train any system. The Customer undertakes to upload only material they are entitled to use and not to use the Service for unlawful purposes.
7. Liability, compensation and refunds
7.1. The parties are liable for non-performance and/or improper performance of this Agreement in accordance with the law of Ukraine and this Agreement.
7.2. The Contractor is not liable for the end result (the charts) failing to meet the Customer's subjective expectations, provided the result corresponds to the Service's stated functionality. The end result depends, among other things, on the quality, lighting, size and other characteristics of the uploaded image, and the printed result depends on the Customer's equipment, materials and settings. At the same time, the Contractor is liable, in the manner set out in clauses 7.5 and 7.6 of this Agreement, for failing to provide access to the Service and for serious technical failures that make it impossible to use the Service as intended.
7.3. The Contractor is not liable where the Customer was unable to use the services for reasons beyond the Contractor's control, including the absence or malfunction of equipment, incompatibility of third-party software for viewing or printing PDF files, lack of Internet access or other technical limitations on the Customer's side, nor for losses caused by the Customer's failure to keep their access key. Such circumstances are not grounds for a refund under clause 7.5; the request is considered on the general terms of the Refund policy.
7.4. All requests, whether about technical support, the working of the Service's functionality, recovery of access keys, the quality of generated PDF files, payment, refunds or subscriptions, and any claims under this Agreement, are sent by the Customer to the Contractor using the contact details in section 11 of this Agreement and at https://crystalia.online/.
7.5. If, because of a technical failure, the Customer has not received the access key within 48 (forty-eight) hours of a successful payment and technical support has been unable to resolve the problem, the Contractor will refund the amount paid within 14 (fourteen) calendar days of receiving the Customer's substantiated claim, provided the failure was not caused by the Customer's own actions or by force majeure.
7.6. Refunds are made by the Contractor through the payment system to the same payment card used for the payment or, for a bank transfer, to the account the funds came from. How long the funds take to arrive depends on the Customer's bank. Other grounds for a refund and how refund requests are handled are set out in the Refund policy.
7.7. The access key is personal and intended for the Customer's own use only. If the key is transferred to third parties, or access credentials are publicly disclosed, without the Contractor's written consent, including for commercial purposes, the Contractor may revoke the key and block access without a refund. The Customer undertakes to compensate any documented losses caused by such unauthorised use.
7.8. The Contractor's total liability under this Agreement is limited to the amount the Customer paid for the period in which the circumstances giving rise to the claim arose. Nothing in this clause limits any liability that cannot be limited by law.
8. Personal data
8.1. By accepting this Agreement, the Customer consents to the processing of their personal data in accordance with the Law of Ukraine "On Personal Data Protection". The Customer understands and unconditionally agrees to the following division of responsibility for data processing:
8.1.1. Payment details (bank card data and the like) are collected, processed and protected solely by the payment system (in particular WayForPay) through which the transaction passes. The Contractor does not collect, process or store the Customer's payment details; it receives from the payment system only confirmation that the payment succeeded, the amount, and the Customer's email address to identify the payment.
8.1.2. Data needed directly to provide access to and use of the Service (including, without limitation, uploaded photographs, generated charts, sign-in data, cookies and IP addresses) is collected, processed and stored by the Contractor, which is the controller of that personal data.
8.2. The detailed terms on which data is collected, stored and protected while the Service is being used are set out in a separate Privacy policy, published at https://crystalia.online/, which the Customer accepts independently when making a purchase.
8.3. The Contractor keeps the data listed in clause 8.1.1 for the term of this Agreement and, after it ends, for the limitation period for claims, unless the law requires otherwise.
8.4. The Customer has the right to access and correct their personal data and to withdraw consent to its processing. To do so, the Customer writes to the Contractor's email address given in section 11. Withdrawing consent after the Services have begun does not affect the lawfulness of processing carried out before the withdrawal.
8.5. The full list of data processed, how long it is kept, the use of cookies, and who has access to the data are set out in the Privacy policy, which forms an integral part of this Agreement.
9. Force majeure
9.1. The parties are released from liability for partial or complete failure to perform their obligations under this Agreement where it results from force majeure (hostilities, prolonged emergency power outages, failures of Internet backbone links, DDoS attacks, failures at data centres, cloud providers or payment systems, and the like).
9.2. If the online service is technically unavailable for more than 24 (twenty-four) consecutive hours, the term of the paid access is automatically extended by the length of the outage. The Customer may ask the Contractor to confirm that an outage occurred and how long it lasted, where this has not been announced.
10. Final provisions and disputes
10.1. The Contractor may amend this Agreement at any time, without prior notice, by publishing a new version on the website. A new version applies to purchases made after its publication, and to subscriptions already running as set out in clause 10.2.
10.2. For a Customer on a recurring subscription, a new version takes effect from the first charge for the next billing period after its publication: continuing the subscription means agreeing to the version in force at that time. The current paid period runs to its end on the terms in force when it was paid for. A Customer who does not agree to the new version may cancel the subscription before the next charge.
10.3. This Agreement is governed by the law of Ukraine. The parties will resolve any dispute arising in connection with its performance by negotiation; failing agreement, the dispute is to be settled by the courts in accordance with the law of Ukraine.
